BAXTER INTERNATIONAL INC. NAMES FORMER MAYTAG EXECUTIVE VICE PRESIDENT CAROLE UHRICH TO BOARD OF DIRECTORS

DEERFIELD, Ill., December 1, 2003 -- Baxter International Inc. (NYSE:BAX) today announced that Carole J. Uhrich has been elected to serve as a member of its board of directors. Uhrich , age 60, was formerly the executive vice president of Maytag Corporation and president of Maytag Home Solutions Group, where she had responsibility for Maytag's $3.5 billion consumer business.

Prior to her role at Maytag, Uhrich spent more than 30 years at Polaroid Corporation, holding a number of positions including assistant chief operating officer, executive vice president, global supply chain, and president of the Commercial Imaging Group.

"Carole brings extensive experience in manufacturing, supply chain, strategic planning, and product development for large, global entities," said Harry M. Jansen Kraemer Jr., Baxter chairman and chief executive officer. "Her skills and background will add significant value and perspective to our board."

Uhrich is a member of the board of directors for Ceridian Corporation and a member of the board of trustees for Northeastern University. She is a past director of Maytag Corporation, a past president of the Polaroid Foundation and a past director for the Business for Social Responsibility.

Uhrich received a bachelor's degree and a master's degree in chemistry from Northeastern University in Boston, Massachusetts.
