BAXTER ANNOUNCES THAT CARLOS DEL SALTO
WILL SUCCEED AL HELLER AS PRESIDENT OF RENAL BUSINESS

DEERFIELD, Ill., November 19, 2003 -- Baxter International Inc. (NYSE: BAX) today announced that Al Heller has decided to resign as senior vice president and president of the company’s global Renal business to become an advisor on life-science transactions with One Equity Partners, the private equity arm of Bank One. The company appointed Carlos del Salto, as the new president of Baxter’s Renal business. Del Salto, already a member of Baxter’s executive management team reporting to Harry M. Jansen Kraemer, Jr., chairman and chief executive officer, assumes this role in addition to his current international responsibilities.

Del Salto brings 30 years of experience at Baxter to his new role, including more than 20 years of experience in the renal business. He has managed a vast and diverse geographic region that encompasses Japan, one of Renal’s most developed markets, as well as key developing markets across Asia and Latin America that represent strong current growth for this business.

He played a key leadership role in refocusing our Renal business and brought strong new talent into the organization,” Kraemer said. “We are fortunate to have a proven leader as experienced and capable as Carlos to lead our global Renal business.
