BAXTER TO
EXPAND OFFERING OF PATIENT SAFETY TECHNOLOGIES WITH THE ACQUISITION OF
AUTROS HEALTHCARE SOLUTIONS INC.
DEERFIELD, Ill. November
30, 2001 -- Baxter International Inc. announced today that a subsidiary
has entered into a definitive agreement to acquire substantially all of
the assets of AUTROS Healthcare Solutions Inc. AUTROS is a Canadian-based
international leader of wireless, Internet-enabled patient information
and medication management systems that improve patient safety by linking
all health-care professionals involved in patient care with the decision-support
needed to safely and correctly administer medication.
Upon closing, AUTROS Healthcare Solutions will become part of Baxter's
Medication Delivery business that specializes in providing electronic
infusion pumps and other devices used by health-care professionals to
deliver intravenous medications. The incorporation of the AUTROS technology
into the Baxter family of products will help to accelerate Baxter's vision
of enhancing drug delivery systems that improve patient outcomes. "Using
information systems as an integral component in the safe delivery of medication
is becoming widely accepted among health-care providers worldwide,"
explains David F. Drohan, senior vice president and president of Baxter's
Medication Delivery business. "The addition of the AUTROS System
to our line of patient safety-focused infusion products will provide Baxter
with the unmatched capability to address the important need to reduce
medication errors through a comprehensive medication management system."
Using wireless hand-held computer devices, the AUTROS Point-of-Care Patient
Management System links the physician, pharmacist and nurse in an interdisciplinary
approach to patient care. The AUTROS System includes a computerized physician
order-entry module, an inpatient pharmacy module, a wireless nurse charting
system and an electronic patient medical record. Providing a comprehensive
patient safety solution for the delivery of medication in a hospital environment,
AUTROS' software modules seamlessly link to existing hospital systems
using standard HL7 interfaces and can operate on a variety of computers
and personal digital-assistant products to transmit orders and update
patient medical records.
The report titled "To Err Is Human," published in November 1999
by the Institute of Medicine, cited that up to 7000 deaths each year are
caused by medication errors. This led to increased awareness of the problem
of patient safety in the U.S. health system. The acquisition of AUTROS
will expand Baxter's offering of patient safety-focused products and provides
Baxter with the opportunity to connect caregivers around the world with
the real-time decision support they need to help ensure that the "five
rights" of medication management -- right patient; right
medication; right dose; right time and right route
of administration -- is practiced when delivering both oral and intravenous
medications, at the point of care to achieve the right patient outcome.
AUTROS Healthcare Solutions has received numerous awards and recognition
for reducing the potential for medication errors and advancing patient
safety. In 1999, AUTROS received the "Information Productivity"
award for its installation at West Park Hospital in Toronto, the first
testsite for the AUTROS system. In March 2001, the Joint Commission on
Accreditation of Healthcare Organizations (JCAHO), selected Luther Midelfort-Mayo
Health System for a live satellite videoconference entitled "Medication
Error Reduction: Achieving Results" because of its outstanding policies
and procedures aimed at reducing medication errors. Luther Midelfort-Mayo
Health System is currently in the process of a live assessment of the
AUTROS System. Luther Midelfort-Mayo is also a finalist for a grant to
participate in Pursuing Perfection: Raising the Bar for Health Care Performance,
an initiative being sponsored by the Robert Wood Johnson Foundation and
the Institute for Healthcare Improvement to implement proven strategies
or develop new approaches to defined health problems. Other AUTROS milestones
include an exclusive partnership with the American Society of Health-System
Pharmacists Foundation for the design of a fail-safe medication management
system.
Both companies anticipate that the transaction will close in early January
2002, subject to regulatory and other approvals. The financial terms of
the agreement will not be disclosed.
